30 June 2026 is only weeks away. But is Bulgaria ready for cross-border conversions, mergers and divisions?

The implementation of the EU Mobility Directive introduced a new framework allowing companies to carry out cross-border conversions, mergers and divisions within the European Union.

For businesses, this is more than a legal reform. These procedures may play an important role in corporate restructurings, group reorganisations and investment transactions.

Yet a practical question remains.

Can these procedures already be effectively used in Bulgaria?

The amendments to Ordinance No. 1 on the Commercial Register provide that the relevant provisions become applicable upon confirmation of technical readiness by the Registry Agency, but no later than 30 June 2026.

As of the date of this publication:

• No publicly available draft amendment extending that deadline has been identified.
• No publicly available ministerial order confirming the required technical readiness has been identified.
• The public Commercial Register portal does not appear to contain dedicated application forms for the new cross-border procedures.

This creates an unusual situation.

The legal framework is in place and the statutory deadline is approaching. Yet it remains unclear whether all practical and technical prerequisites for the implementation of the new procedures have already been put in place.
For companies considering cross-border restructurings involving Bulgaria, clarity on this issue is more than a technical matter. Transaction planning depends on predictable and operational procedures.

It will be interesting to see whether further developments take place before 30 June 2026.
